1. Acceptance of Terms

These Terms of Use (the "Terms") constitute a legally binding agreement between you ("you", "your" or the "User") and Merk Digital Ltd., a British Columbia corporation having its registered office in Vancouver, British Columbia, doing business as Auto World Approvals (the "Company", "we", "us" or "our"). They govern your access to and use of the Auto World Approvals website, mobile interfaces, application forms, and all related services, features, content, and applications (collectively, the "Platform").

BY ACCESSING OR USING THE PLATFORM, OR BY CLICKING "I AGREE", YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE PLATFORM.

2. Nature of the Service

The Company operates a digital lead-generation and matching platform that introduces prospective Canadian vehicle purchasers to independent third-party lenders, automotive dealers, and finance intermediaries ("Dealer-Finance Partners") for the purpose of facilitating vehicle financing pre-qualification. The Company is not a lender, broker, credit grantor, financial advisor, or insurer. The Company does not extend credit, originate loans, or guarantee financing of any kind. All financing decisions are made independently by the applicable Dealer-Finance Partner in its sole discretion, based on its own underwriting criteria.

Submission of an application or pre-qualification request through the Platform does not constitute an offer of credit, a commitment to lend, or a guarantee that financing will be approved on any specific terms. Approval, rate, term and amount are determined solely by the applicable Dealer-Finance Partner.

3. Eligibility

You represent and warrant that: (a) you are a resident of Canada and lawfully present in British Columbia, Alberta, Yukon or the Northwest Territories; (b) you have reached the age of majority in your province or territory of residence; (c) you have full legal capacity to enter into a binding contract; and (d) the information you submit is true, accurate, current and complete and is submitted on your own behalf and not on behalf of any third party unless you have legal authority to do so.

3A. Minors

The Platform is not directed to, or intended for use by, individuals under the age of majority in their jurisdiction of residence. The Company does not knowingly collect personal information from minors. If you are under the age of majority you must not submit an Application or otherwise use the Platform except under the direct supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. Any use of the Platform is void where prohibited by applicable law.

3B. Authorization

By submitting an Application through the Platform you certify that the information you have provided is true and complete, and you expressly authorize the Company and its agents, affiliates and Dealer-Finance Partners to:

  • collect, use, verify and exchange credit, employment, identification and financial information about you from and with such sources as the Company or a Dealer-Finance Partner reasonably considers appropriate, including credit reporting agencies, current and previous employers, landlords, financial institutions and government agencies;
  • obtain one or more consumer credit reports and credit scores in connection with the evaluation and ongoing administration of your Application;
  • contact you in person and by telephone, voicemail, automated dialer, SMS or text message, email, mail, instant messaging and social media platforms in connection with your Application and related products and services;
  • provide you with status updates on your Application, including whether you pre-qualify, which (if any) offer you elect to accept, and whether financing is ultimately declined; and
  • disclose, transfer or sell information contained in your Application — including personal and financial information — to one or more Dealer-Finance Partners, affiliates, service providers, credit reporting agencies and wholesale lead aggregators, who may conduct independent searches using such information for the purpose of processing and facilitating your Application.

You may withdraw your consent to be contacted at any time by emailing admin@autoworldapprovals.com or by following the unsubscribe instructions in any electronic message we send you. Withdrawal of consent will not apply retroactively and may limit our ability to process your Application or provide certain services.

4. License Grant

Subject to your continuous compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your own personal, non-commercial purpose of evaluating vehicle financing options. No other rights are granted, expressly or by implication.

5. Prohibited Conduct

You agree that you will not, directly or indirectly:

  • submit false, misleading, inaccurate or fraudulent information;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • submit an application on behalf of any third party without lawful authorization;
  • use the Platform in violation of any applicable federal, provincial, municipal or foreign law;
  • interfere with, disrupt, overload or impair the Platform or its underlying infrastructure, including via denial-of-service, scraping, automated agents, bots, or unauthorized API access;
  • attempt to gain unauthorized access to any portion of the Platform, related systems, or other users' data;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform, except to the extent expressly permitted by applicable law;
  • upload, transmit or distribute any virus, worm, trojan horse, malware or other harmful code;
  • use the Platform to harvest information for unsolicited commercial communications in violation of CASL or other applicable anti-spam laws; or
  • use the Platform in any manner that could damage, disable, overburden or impair the Company's reputation or business.

6. Intellectual Property

The Platform, including all software, source code, user interfaces, designs, text, graphics, images, logos, trademarks, trade names, audio, video, data, compilations and the selection, arrangement and look-and-feel thereof (collectively, the "Company Content"), is owned by or licensed to the Company and is protected by Canadian and international copyright, trademark, patent, trade secret and other intellectual-property laws. All rights not expressly granted are reserved. "Auto World Approvals", the Auto World Approvals logo, and related marks are trademarks of Merk Digital Ltd.

You shall not copy, reproduce, modify, adapt, translate, create derivative works of, publish, distribute, publicly display, perform, sublicense or otherwise exploit the Company Content, in whole or in part, without our prior written consent.

7. User Submissions

By submitting any information, content, feedback, ratings, reviews or other materials to or through the Platform ("User Submissions"), you grant the Company a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, sublicensable and transferable license to use, reproduce, modify, adapt, publish, transmit, display and distribute such User Submissions for any lawful purpose related to the operation, promotion and improvement of the Platform and the Company's business, subject only to the Privacy Policy. You represent and warrant that you have all necessary rights to make such submissions.

8. Third-Party Links and Services

The Platform may contain links to, or otherwise enable interaction with, third-party websites, products or services that are not owned or controlled by the Company. The Company does not endorse and is not responsible or liable for the availability, accuracy, content, products, services, terms or practices of any such third party. Your dealings with any Dealer-Finance Partner or other third party are solely between you and that third party.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT, INFORMATION, MATERIALS AND SERVICES AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY AND UNINTERRUPTED USE.

WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THAT (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (B) ANY INFORMATION OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE OR RELIABLE; OR (C) ANY DEFECTS WILL BE CORRECTED. ANY CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, TAX OR PROFESSIONAL ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS PARENT, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR AGGRAVATED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, EQUITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF SUCH DAMAGES WERE REASONABLY FORESEEABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100). THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

11. Indemnification

You agree to defend, indemnify and hold harmless the Company and its parent, affiliates, officers, directors, employees, agents, suppliers and licensors from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs and expenses (including reasonable legal fees on a full indemnity basis) arising out of or relating to: (a) your access to or use of the Platform; (b) your User Submissions; (c) your violation of these Terms; (d) your violation of any rights of any third party; or (e) your violation of any applicable law.

12. Termination

The Company may, in its sole discretion, suspend or terminate your access to all or part of the Platform at any time, with or without cause and with or without notice. Upon termination, all licenses granted to you will immediately cease. Sections that by their nature should survive termination (including Sections 6, 7, 9, 10, 11, 13 and 14) will survive.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Platform are governed by, and shall be construed in accordance with, the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Where you are a resident of Alberta, Yukon or the Northwest Territories, the mandatory consumer-protection laws of your jurisdiction of residence will continue to apply to the extent they cannot be displaced by contract. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and the Company irrevocably submit to the exclusive jurisdiction of the courts of the Province of British Columbia, sitting in the City of Vancouver, for the resolution of any dispute, claim or controversy arising out of or relating to these Terms or the Platform, and you waive any objection to such venue on the grounds of inconvenience or otherwise. Notwithstanding the foregoing, the Company may seek injunctive or equitable relief in any court of competent jurisdiction.

14. General

These Terms, together with the Privacy Policy, Credit Application Consent and Cookie Policy, constitute the entire agreement between you and the Company regarding the Platform and supersede all prior or contemporaneous communications. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. The Company's failure to enforce any right or provision shall not constitute a waiver. You may not assign these Terms without our prior written consent; the Company may assign these Terms at any time without notice. Headings are for convenience only.

15. Amendments

We may modify these Terms at any time by posting the revised version on the Platform and updating the "Effective Date" above. Material changes will be communicated by reasonable means. Your continued use of the Platform following such posting constitutes your acceptance of the revised Terms.
